Fluxys affiliate GMSL will join forces with Energy One Ltd

Together they will form the global industry leader for software and services in energy markets

Brussels-Sydney, 19 August 2026 – Energy One Limited (ASX:EOL) and Fluxys today announce that they have entered into a Share Purchase Agreement under which Energy One will acquire 100% of Fluxys’ UK-based affiliate GMSL and where Fluxys becomes a strategic shareholder of 18.26% of Energy One.

The proposed transaction represents a significant milestone in Energy One's growth strategy. By bringing together complementary software, connectivity, market operations and 24/7 operational services capabilities, the combination strengthens Energy One's position in Europe, expands its customer reach and accelerates its long-term growth ambitions. Together, Energy One and GMSL will create a broader software and services platform with greater scale, expertise and market coverage across European energy markets.

Fluxys, owner of GMSL since 2002, will remain closely aligned as a major shareholder and key customer of Energy One’s, with an ownership interest of 18.26%. The transaction is subject to shareholder approvals and completion conditions and is expected to be completed before year end.

Ben Tranier, Chief Executive Officer of Energy One "GMSL is the leading provider of European energy market software, 24/7 operational services and market connectivity solutions. This partnership is an important step in the continued growth of Energy One's European business.

Welcoming GMSL into the Energy One Group expands our capability across energy trading, market operations and connectivity. Together, the two businesses will be even better positioned to support customers operating in increasingly complex gas and power markets.

We see significant opportunity in bringing together the complementary strengths, expertise and experience of both organisations to create a broader software and services platform for energy markets. Our priority will be to maintain service quality, support our customers and preserve the expertise, culture and customer focus that have made both businesses successful.

This is the largest transaction in Energy One's history and an important milestone in the evolution and continued growth of the Group. We are also pleased to welcome Fluxys as a significant shareholder and long-term strategic partner, supporting the next phase of Energy One's growth in Europe.”

Pascal De Buck, Managing Director & CEO Fluxys “Joining forces with Energy One is a unique opportunity for both GMSL and for Fluxys. By combining GMSL’s expertise and product suite with Energy One’s integrated solutions, we are well positioned to meet the growing software and services challenges across the gas, power, and renewables markets – globally.

As Fluxys becomes a strategic anchor shareholder of Energy One, we are making a clear, long-term commitment to support and accelerate Energy One’s and GMSL’s growth.”

George Wych, COO GMSL “Having been part of GMSL’s journey from its early days over the past 30 years, I see this moment as an exciting new chapter. By bringing our business together with Energy One, we are creating a strong organisation with broader capabilities. It will open new opportunities for our customers, our people and our partners.

The continued participation of Fluxys also underscores the belief in the future of the combined company. I am incredibly proud of what we have built together, and even more optimistic about what we will achieve in the years ahead.”
